ProCleanerUK Terms of Service

Introduction Welcome to ProCleanerUK. By accessing and using the procleaneruk.co.uk website and its associated services and mobile applications (collectively, the “Service”), operated by ProCleanerUK Limited (“we”, “us”, “our”), you agree to be bound by these Terms of Service. These Terms apply to all visitors, users, and others who access or use the Service, including users from the United Kingdom (UK), European Union (EU), United States (US), and other international locations. If you do not agree with any part of these Terms, you must not use our Service.

Changes to Terms We reserve the right to update, change, or replace any part of these Terms of Service at our sole discretion by posting updates and changes to our website. Any new features or tools which are added to the current Service shall also be subject to these Terms of Service. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Service following the posting of any changes constitutes acceptance of those changes.

1. Account Terms

  • Eligibility: To use this Service, you must be at least 18 years old and capable of forming a binding contract under applicable law.
  • Account Registration: You must provide accurate, current, and complete information during the signup process, including your legal full name, a valid email address, business name (if applicable), billing information, and any other details requested to complete your account registration. You agree to update this information promptly if it changes.
  • Account Security: You are solely responsible for maintaining the confidentiality of your account login credentials (username and password) and for all activities that occur under your account. You must notify ProCleanerUK immediately of any unauthorized use of your account or any other breach of security. ProCleanerUK will not be liable for any loss or damage arising from your failure to comply with this security obligation.
  • Account Responsibility: You are responsible for all content posted, data inputted, and activities that occur under your account.
  • Single Company Per Subscription: Unless explicitly agreed otherwise in writing, your subscription permits the operation of one single legal entity or company per subscription. Attempting to circumvent the software by using sub-admin accounts or other methods to manage multiple, separate companies under a single subscription without prior written approval will result in immediate suspension or termination of your account, without refund.
  • Franchises: Use of our platform as part of a franchise system (either as a franchisor or a franchisee operating independently) requires prior written approval and a specific franchise agreement with ProCleanerUK. Unauthorized use in a franchise context may lead to account suspension or termination.
  • Non-compliance: Failure to comply with any part of these Terms of Service may result in suspension or termination of your account and support services, without refund.

2. Payment, Refunds, Upgrading, and Downgrading Terms

  • Credit/Debit Card Requirement: A valid credit or debit card is required for all paid accounts. By providing payment information, you authorize ProCleanerUK to charge all fees incurred through your account to your designated payment method.
  • Billing Cycle: If you sign up for a a free trial (e.g., 14-day) and do not cancel your account within the specified trial period, you will be billed for the selected subscription plan (e.g., monthly or annually) starting on the day following the trial expiration. Subsequent billing will occur every [e.g., 30 days for monthly / 365 days for annual] thereafter until you cancel.
  • Non-refundable: All payments made are generally non-refundable. We do not provide refunds or credits for any partial subscription periods, unused features, or for any months/years remaining on an active subscription if you choose to cancel before the end of your current paid term.
  • Taxes: All fees are exclusive of any applicable sales, value-added, goods and services, or other taxes, levies, or duties imposed by taxing authorities in your jurisdiction. You are responsible for the payment of all such taxes (excluding taxes based on our net income).

3. Cancellation and Termination

  • Cancellation by User: You are solely responsible for properly cancelling your account. You can cancel your account at any time through the settings in your dashboard by clicking on the “Delete Account” option or by contacting our support team if required.
  • Effect of Cancellation: If you cancel your account before the end of your current paid subscription period (e.g., paid month or year), your cancellation will take effect immediately. You will not be charged for subsequent billing cycles. No refunds or credits will be issued for any unused portion of your current subscription.
  • Termination by ProCleanerUK: ProCleanerUK reserves the right to suspend or terminate your account and refuse any and all current or future use of the Service for any reason at any time, including, but not limited to, breach of these Terms of Service, misuse of the Service, or if we suspect fraudulent or illegal activity. Such termination may be immediate and without prior notice.

4. Modifications to the Service and Prices

  • Service Changes: ProCleanerUK reserves the right to modify, upgrade, suspend, or discontinue any feature, functionality, or any part of the Service at any time, with or without notice. We will endeavour to provide reasonable notice for significant changes that may impact your use of the Service.
  • Price Changes: Prices for all Services, including but not limited to subscription fees, are subject to change upon 30 days’ notice from us. Such notice may be provided at any time by posting the changes to the ProCleanerUK website or via email.

5. Copyright and Content Ownership

  • User Content: We claim no intellectual property rights over the material you provide or create using the Service. Your profile, data, and content remain yours. By using the Service, you grant ProCleanerUK a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute your content solely for the purpose of operating and providing the Service to you.
  • ProCleanerUK Content: All content, features, and functionality of the Service (including but not limited to software, text, graphics, logos, icons, images, and their selection and arrangement) are and will remain the exclusive property of ProCleanerUK Limited and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries.
  • Pre-screening: ProCleanerUK does not pre-screen content, but reserves the right (but not the obligation) in its sole discretion to refuse or remove any content that violates these Terms of Service or is deemed objectionable.

6. General Conditions

  • Service Provision: The Service is provided “as is” and “as available”, without any warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Support: Technical support is primarily available to active, paying account holders. Specific support levels may vary based on your subscription plan.
  • Third-Party Services: ProCleanerUK uses third-party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
  • Prohibited Actions: You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service without express written permission by ProCleanerUK. You must not transmit any worms or viruses or any code of a destructive nature.

7. Limitation of Liability To the maximum extent permitted by applicable law, in no event shall ProCleanerUK, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

8. Governing Law and Dispute Resolution

  • Governing Law: These Terms of Service shall be governed by and construed in accordance with the laws of the United Kingdom.
  • Dispute Resolution: In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service, the Parties shall first attempt to resolve the dispute through good-faith negotiation. If a resolution is not reached within a reasonable timeframe, the Parties agree to submit to the exclusive jurisdiction of the courts located in the United Kingdom.

9. Severability If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
